AMENDMENTS
TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL
YEAR.

On
September 21, 2009, Lightbridge Corporation, a Nevada company (the “Company”),
filed a Certificate of Amendment to its Articles of Incorporation with the
Nevada Secretary of State to amend the Company’s current Articles of
Incorporation to (1) change the name of the Company from “Thorium Power, Ltd.”
to “Lightbridge Corporation,” and (2) effect a 1-for-30 reverse split of the
Company’s outstanding common stock. The foregoing description of the
provisions of the Certificate of Amendment is qualified in its entirety by
reference to the provisions of the Certificate of Amendment attached hereto as
Exhibit 3.1 and incorporated by reference herein.
The new
CUSIP number for the Company’s common stock is 53224K 104. The
Company expects to receive a new symbol for quotation on the Over The Counter
Bulletin Board within the next few days.
